O PROGLAŠENJU ZAKONA O POTVRĐIVANJU KONVENCIJE IZMEĐU KRALJEVINE NIZOZEMSKE, U ODNOSU NA CURAÇAO, I REPUBLIKE HRVATSKE O AUTOMATSKOJ RAZMJENI INFORMACIJA O DOHOTKU OD ŠTEDNJE U OBLIKU ISPLATA KAMATA

Proglašavam Zakon o potvrđivanju Konvencije između Kraljevine Nizozemske, u odnosu na Curaçao, i Republike Hrvatske o automatskoj razmjeni informacija o dohotku od štednje u obliku isplata kamata, koji je Hrvatski sabor donio na sjednici 4. travnja 2014. godine.

Članak 1.

Potvrđuje se Konvencija između Kraljevine Nizozemske, u odnosu na Curaçao, i Republike Hrvatske o automatskoj razmjeni informacija o dohotku od štednje u obliku isplata kamata, sklopljena u Zagrebu 3. lipnja 2013. i u Willemstadu 27. lipnja 2013., u obliku razmjene pisama, u izvorniku na engleskom jeziku.

AGREEMENT IN THE FORM OF AN EXCHANGE OF LETTERS ON THE TAXATION OF SAVINGS INCOME AND THE PROVISIONAL APPLICATION THEREOF

A. Letter from the Republic of Croatia

Madam/Sir,

I have the honour to refer to the texts of respectively the «Convention between the Kingdom of the Netherlands in respect of the Netherlands Antilles and (Belgium, Austria and Luxembourg) concerning the automatic exchange of information regarding savings income in the form of interest payments», the »Convention between the Kingdom of the Netherlands in respect of the Netherlands Antilles and (the EU Member State, other than Belgium, Austria and Luxembourg) concerning the automatic exchange of information regarding savings income in the form of interest payments», the »Convention between the Kingdom of the Netherlands in respect of Aruba and (the EU Member State, other than Belgium, Austria and Luxembourg) concerning the automatic exchange of information regarding savings income in the form of interest payments» and the «Convention between the Kingdom of the Netherlands in respect of Aruba and (Belgium, Austria and Luxembourg) concerning the automatic exchange of information regarding savings income in the form of interest payments», that resulted from the negotiations with the Netherlands Antilles and Aruba on a Savings Tax Agreement, and that were annexed, respectively as Annex I, II, III and IV, to the Outcome of Proceedings of the High Level Working Party of the Council of Ministers of the European Union of 12 March 2004 (doc. 7660/1/04 REV 1 FISC 68 + COR 1).

In view of the above mentioned texts I have the honour to propose to you the «Convention concerning the automatic exchange of information regarding savings income in the form of interest payments» as contained in Appendix 1 to this letter, and our mutual undertaking to comply at the earliest possible date with our internal constitutional formalities for the entry into force of this Convention and to notify each other without delay when such formalities are completed.

Pending the completion of these internal procedures and the entry into force of this «Convention concerning the automatic exchange of information regarding savings income in the form of interest payments», I have the honour to propose to you that the Republic of Croatia and the Kingdom of the Netherlands, in respect of Curaçao, apply this Convention provisionally, within the framework of our respective domestic constitutional requirements, as from the date of accession of the Republic of Croatia to the European Union.

I have the honour to propose that, if the above is acceptable to your Government, this letter and your confirmation shall together constitute an Agreement between the Republic of Croatia and the Kingdom of the Netherlands, in respect of Curaçao.

B. Letter from the Kingdom of the Netherlands, in respect of Curaçao

Sir,

I have the honour to acknowledge receipt of your letter of 3rd June 2013, which reads as follows:

«Sir,

I have the honour to refer to the texts of respectively the «Convention between the Kingdom of the Netherlands in respect of the Netherlands Antilles and (Belgium, Austria and Luxembourg) concerning the automatic exchange of information regarding savings income in the form of interest payments», the »Convention between the Kingdom of the Netherlands in respect of the Netherlands Antilles and (the EU Member State, other than Belgium, Austria and Luxembourg) concerning the automatic exchange of information regarding savings income in the form of interest payments», the »Convention between the Kingdom of the Netherlands in respect of Aruba and (the EU Member State, other than Belgium, Austria and Luxembourg) concerning the automatic exchange of information regarding savings income in the form of interest payments» and the «Convention between the Kingdom of the Netherlands in respect of Aruba and (Belgium, Austria and Luxembourg) concerning the automatic exchange of information regarding savings income in the form of interest payments», that resulted from the negotiations with the Netherlands Antilles and Aruba on a Savings Tax Agreement, and that were annexed, respectively as Annex I, II, III and IV, to the Outcome of Proceedings of the High Level Working Party of the Council of Ministers of the European Union of 12 March 2004 (doc. 7660/1/04 REV 1 FISC 68 + COR 1).

APPENDIX 1

CONVENTION BETWEEN THE KINGDOM OF THE NETHERLANDS, IN RESPECT OF CURAÇAO, AND THE REPUBLIC OF CROATIA CONCERNING THE AUTOMATIC EXCHANGE OF INFORMATION REGARDING SAVINGS INCOME IN THE FORM OF INTEREST PAYMENTS

WHEREAS:

1. Article 17(2) of Directive 2003/48/EEC («the Directive») of the Council of the European Union («the Council») on taxation of savings income provides that Member States shall adopt and publish the laws, regulations and administrative provisions necessary to comply with the Directive from January 1, 2005, provided that:

– the Swiss Confederation, the Principality of Liechtenstein, the Republic of San Marino, the Principality of Monaco and the Principality of Andorra from that same date apply measures equivalent to those contained in the Directive, in accordance with agreements entered into by them with the European Community, following unanimous decisions of the Council;

– all agreements or other arrangements are in place, which provide that all the relevant dependent or associated territories apply from that date automatic exchange of information in the same manner as is provided for in Chapter II of the Directive, or, during the transitional period defined in Article 10, apply a withholding tax on the same terms as are contained in Articles 11 and 12;

2. On 19 July 2004 (Council Decision 2004/587/EC) the Council amended the date of application of the Directive from 1 January 2005 to 1 July 2005;

3. On 24 June 2005, the Council:

– took note that the 25 Member States, 5 European countries (Andorra, Liechtenstein, Monaco, San Marino, Switzerland), 3 Crown Dependencies (Guernsey, Isle of Man, and Jersey), and 7 dependent or associated territories in the Caribbean (Netherlands Antilles, Aruba, Anguilla, British Virgin Islands, Cayman Islands, Montserrat, Turks & Caicos Islands) have confirmed that they apply the agreed savings tax measures from 1 July 2005 (green light);

– adopted the «Green light note» (Doc. 10038/05 FISC 69) which triggered the application, by all 40 treaty partners concerned, of the agreed savings tax measures from 1 July 2005;

– authorised the Council Secretariat to share the «Green light note» and the information concerning the bilateral savings tax agreements and the Savings Tax Directive with the relevant third countries and territories and the public.»;

4. Curaçao is not within the EU fiscal territory but is, for purposes of the Directive, an EU associated territory and as such is not bound by the terms of the Directive. However, the Kingdom of the Netherlands, in respect of Curaçao, on the basis of an arrangement between Curaçao and the Netherlands, is willing to enter into agreements with the Member States of the EU to apply a withholding tax on the same terms as are contained in Articles 11 and 12 of the Directive during the transitional period defined in Article 10 thereof, and, after expiration of the transitional period, to apply automatic exchange of information in the same manner as is provided for in Chapter II of the Directive;

5. The arrangement between Curaçao and the Netherlands, as stated in the previous paragraph, is contingent on the adoption by all the Member States of the laws, regulations and administrative provisions necessary to comply with the Directive, and on the requirements of Article 17 of the Directive being met;

6. Through this Convention, Curaçao agrees to apply the provisions of the Directive, subject to what is otherwise agreed herein, in regard of Beneficial Owners that are residents of the Republic of Croatia and the Republic of Croatia agrees to apply the Directive in regard to Beneficial Owners that are residents of Curaçao.

The Government of the Kingdom of the Netherlands, in respect of Curaçao, and the Government of the Republic of Croatia, desiring to conclude a Convention which enables savings income in the form of Interest Payments made in one of the Contracting States to Beneficial Owners who are individuals resident in the other Contracting State, to be made subject to effective taxation in accordance with the laws of the latter Contracting State, in conformity with the Directive and with the intentions of the Contracting States as laid down herein above, have agreed as follows:

Article 1

GENERAL SCOPE

1. This Convention shall apply to interest paid by a Paying Agent established within the territory of one of the Contracting States with a view to enable savings income in the form of Interest Payments made in one Contracting State to Beneficial Owners who are individuals resident for tax purposes in the other Contracting State to be made subject to effective taxation in accordance with the laws of the latter Contracting State.

2. The scope of this Convention shall be limited to taxation of savings income in the form of Interest Payments on debt claims, to the exclusion, inter alia, of the issues relating to the taxation of pension and insurance benefits.

3. As regards the Kingdom of the Netherlands, this Agreement shall apply only to Curaçao.

Article 2

DEFINITIONS

1. For the purposes of this Convention, unless the context otherwise requires:

a) the terms «a Contracting State» and «the other Contracting State» mean: the Kingdom of the Netherlands, in respect of Curaçao, or the Republic of Croatia as the context requires;

b) the term «Curaçao» means: the part of the Kingdom of the Netherlands, which is situated in the Caribbean area and consists of the territory of Curaçao, including its territorial sea and any area beyond and adjacent to its territorial sea within which the Kingdom of the Netherlands, in accordance with international law, exercises jurisdiction or sovereign rights, but excluding the part thereof relating to Aruba and Bonaire;

c) the «contracting party» being a Member State of the European Union means: the Republic of Croatia;

d) the term «Directive» means Directive 2003/48/EC of the Council of the European Union of 3 June 2003 on taxation of savings income in the form of interest payments, as applicable at the date of signing this Convention;

e) the term «Beneficial Owner(s)» means the Beneficial Owner(s) according to Article 2 of the Directive;

f) the term «Paying Agent(s)» means the Paying Agent(s) according to Article 4 of the Directive;

g) the term «Competent Authority» means:

i) in the case of Curaçao: the Minister of Finance or his authorised representative;

ii) in the case of the Republic of Croatia: the Competent Authority of that State according to Article 5 of the Directive;

h) the term «Interest Payment(s)» means the Interest Payment(s) according to Article 6, due account being taken of Article 15, of the Directive;

i) any term not otherwise defined herein shall have the meaning given to it in the Directive.

2. For the purposes of this Convention, in the provisions of the Directive to which this Convention refers, instead of «Member States» has to be read: Contracting States.

Article 3

IDENTITY AND RESIDENCE OF BENEFICIAL OWNERS

Each Contracting State shall, within its territory, adopt and ensure the application of the procedures necessary to allow the Paying Agent to identify the Beneficial Owners and their residence for the purpose of the Articles 4 to 6. These procedures shall comply with the minimum standards established in Article 3, paragraph 2 and 3 of the Directive, with the provision, that, in relation to subparagraphs 2.a) and 3.a) of that Article, the identity and residence of the Beneficial Owner shall be established on the basis of the information which is available to the Paying Agent by virtue of the application of the relevant provisions of the law and regulations of the Contracting State where the Paying Agent is established. However, existing exemptions or dispensations, if any, provided on request to Beneficial Owners resident in the Republic of Croatia under these provisions shall cease to apply and no further exemptions or dispensations of this nature shall be provided to such Beneficial Owners.

Article 4

AUTOMATIC EXCHANGE OF INFORMATION

1. The Competent Authority of the Contracting State where the Paying Agent is established, shall communicate the information referred to in Article 8 of the Directive to the Competent Authority of the other Contracting State of residence of the Beneficial Owner.

2. The communication of information shall be automatic and shall take place at least once a year, within six months following the end of the tax year of the Contracting State of the Paying Agent, for all Interest Payments made during that year.

3. Information exchange under this Convention shall be treated by the Contracting States in a manner consistent with the provisions of Article 16 of Directive 2011/16/EU.

Article 5

TRANSITIONAL PROVISIONS

1. During the transitional period referred to in Article 10 of the Directive, where the Beneficial Owner is resident in the Republic of Croatia and the Paying Agent is resident in Curaçao, Curaçao shall levy a withholding tax on Interest Payments at a rate of 35%. During this period, Curaçao shall not be required to apply the provisions of Article 4. It shall, however, receive information from the Republic of Croatia in accordance with that Article.

2. The Paying Agent shall levy the withholding tax in the manner as described in Article 11, paragraphs 2 and 3 of the Directive.

3. The imposition of withholding tax by Curaçao shall not preclude the Republic of Croatia from taxing the income in accordance with its national law.

4. During the transitional period, Curaçao may provide that an economic operator paying interest to, or securing interest for, an entity referred to in Article 4, paragraph 2, of the Directive, established in the Republic of Croatia shall be considered the Paying Agent in place of the entity and shall levy the withholding tax on that interest, unless the entity has formally agreed to its name, address and the total amount of interest paid to it or secured for it being communicated in accordance with the last subparagraph of that paragraph.

5. At the end of the transitional period, Curaçao shall be required to apply the provisions of Article 4 and shall cease to apply the withholding tax and the revenue sharing provided for in Article 5 and Article 6. If, during the transitional period, Curaçao elects to apply the provisions of Article 4, it shall no longer apply the withholding tax and the revenue sharing provided for in Article 5 and Article 6.

Article 6

REVENUE SHARING

1. Curaçao shall retain 25% of the revenue of the withholding tax mentioned in Article 5, paragraph 1, and transfer 75% of the revenue to the Republic of Croatia.

2. If Curaçao levies withholding tax in accordance with Article 5, paragraph 4, it shall retain 25% of the revenue and transfer 75% to the Republic of Croatia of the revenue of the withholding tax levied on interest payments made to entities referred to in Article 4, paragraph 2, of the Directive, established in the Republic of Croatia.

3. Such transfers shall take place at the latest within a period of six months following the end of the tax year of Curaçao.

4. Curaçao shall take the necessary measures to ensure the proper functioning of this revenue-sharing system.

Article 7

EXCEPTIONS TO THE WITHHOLDING PROCEDURE

1. Curaçao shall provide for one or both of the procedures of Article 13, paragraph 1, of the Directive in order to ensure that the Beneficial Owners may request that no tax be withheld.

2. At the request of the Beneficial Owner, the Competent Authority of his Contracting State of residence for tax purposes shall issue a certificate in accordance with Article 13, paragraph 2, of the Directive.

Article 8

ELIMINATION OF DOUBLE TAXATION

The Republic of Croatia shall ensure the elimination of any double taxation which might result from the imposition of the withholding tax referred to in Article 5, in accordance with the provisions of Article 14, paragraphs 2 and 3, of the Directive or will provide a refund of the withholding tax.

Article 9

OTHER WITHHOLDING TAXES

The Convention shall not preclude the Contracting States from levying other types of withholding tax than that referred to in Article 5 in accordance with their national laws or double-taxation conventions.

Article 10

TRANSPOSITION

Before the date of accession of the Republic of Croatia to the European Union the Contracting States shall adopt and publish the laws, regulations and administrative provisions necessary to comply with this Convention.

Article 11

ANNEX

The text of Article 16 of Council Directive 2011/16/EU of 15 February 2011 on administrative cooperation in the field of taxation and repealing Directive 77/799/EEC, to which this Convention refers, is appended as Annex to this Convention, of which it forms an integral part.

Article 12

ENTRY INTO FORCE

This Convention shall enter into force on the last day of the first month following the later of the dates on which the respective Governments have notified each other in writing that the formalities constitutionally required in their respective States have been complied with, and its provisions shall have effect from the date of accession of the Republic of Croatia to the European Union.

Article 13

TERMINATION

This Convention shall remain in force until terminated by one of the Contracting States. Either State may terminate the Convention, through diplomatic channels, by giving notice of termination at least six months before the end of any calendar year after the expiration of a period of three years from the date of its entry into force. In such event the Convention shall cease to have effect for periods beginning after the end of the calendar year in which the notice of termination has been given.

Article 16 of Directive 2011/16/EU

«Disclosure of information and documents

1. Information communicated between Member States in any form pursuant to this Directive shall be covered by the obligation of official secrecy and enjoy the protection extended to similar information under the national law of the Member State which received it. Such information may be used for the administration and enforcement of the domestic laws of the Member States concerning the taxes referred to in Article 2.

Such information may also be used for the assessment and enforcement of other taxes and duties covered by Article 2 of Council Directive 2010/24/EU of 16 March 2010 concerning mutual assistance for the recovery of claims relating to taxes, duties and other measures[1], or for the assessment and enforcement of compulsory social security contributions.

In addition, it may be used in connection with judicial and administrative proceedings that may involve penalties, initiated as a result of infringements of tax law, without prejudice to the general rules and provisions governing the rights of defendants and witnesses in such proceedings.

2. With the permission of the competent authority of the Member State communicating information pursuant to this Directive, and only in so far as this is allowed under the legislation of the Member State of the competent authority receiving the information, information and documents received pursuant to this Directive may be used for other purposes than those referred to in paragraph 1. Such permission shall be granted if the information can be used for similar purposes in the Member State of the competent authority communicating the information.

3. Where a competent authority of a Member State considers that information which it has received from the competent authority of another Member State is likely to be useful for the purposes referred to in paragraph 1 to the competent authority of a third Member State, it may transmit that information to the latter competent authority, provided that transmission is in accordance with the rules and procedures laid down in this Directive. It shall inform the competent authority of the Member State from which the information originates about its intention to share that information with a third Member State. The Member State of origin of the information may oppose such a sharing of information within 10 working days of receipt of the communication from the Member State wishing to share the information.

4. Permission to use information pursuant to paragraph 2, which has been transmitted pursuant to paragraph 3, may be granted only by the competent authority of the Member State from which the information originates.

5. Information, reports, statements and any other documents, or certified true copies or extracts thereof, obtained by the requested authority and communicated to the requesting authority in accordance with this Directive may be invoked as evidence by the competent bodies of the requesting Member State on the same basis as similar information, reports, statements and any other documents provided by an authority of that Member State.»

SPORAZUM U OBLIKU RAZMJENE PISAMA O OPOREZIVANJU DOHOTKA OD ŠTEDNJE I NJEGOVOJ PRIVREMENOJ PRIMJENI

Poštovana gospođo/poštovani gospodine,

čast mi je pozvati se na sadržaj »Konvencije između Kraljevine Nizozemske u odnosu na Nizozemske Antile i (Belgije, Austrije i Luksemburga) o automatskoj razmjeni informacija o dohotku od štednje u obliku isplata kamata«, »Konvencije između Kraljevine Nizozemske u odnosu na Nizozemske Antile i (država članica EU-a osim Belgije, Austrije i Luksemburga) o automatskoj razmjeni informacija o dohotku od štednje u obliku isplata kamata«, »Konvencije između Kraljevine Nizozemske, u odnosu na Arubu i (država članica EU-a osim Belgije, Austrije i Luksemburga) o automatskoj razmjeni informacija o dohotku od štednje u obliku isplata kamata« i »Konvencije između Kraljevine Nizozemske u odnosu na Arubu i (Belgije, Austrije i Luksemburga) o automatskoj razmjeni informacija o dohotku od štednje u obliku isplata kamata, koje su rezultat pregovora s Nizozemskim Antilima i Arubom o Sporazumu o oporezivanju štednje i koje su kao Dodatak I., II., III. i IV. dodane Ishodu postupka visoke radne skupine Vijeća ministara Europske unije od 12. ožujka 2004. (dok.7660/1/04 REV 1 FISC 68 + COR 1).

S obzirom na navedene tekstove, čast mi je predložiti »Konvenciju o automatskoj razmjeni informacija o dohotku od štednje u obliku isplata kamata« sadržanu u Prilogu 1. ovome pismu, kao i našu zajedničku obvezu da u najkraćem roku provedemo unutarnje ustavne postupke za stupanje na snagu ove Konvencije, te da se odmah međusobno izvijestimo o okončanju tih postupaka.

Čast mi je predložiti da Republika Hrvatska i Kraljevina Nizozemska, u odnosu na Curaçao, do okončanja ovih unutarnjih postupaka i stupanja na snagu »Konvencije o automatskoj razmjeni informacija o dohotku od štednje u obliku isplata kamata«, počnu privremeno primjenjivati Konvenciju s datumom pristupanja Republike Hrvatske Europskoj uniji, u okviru uvjeta koje postavljaju naši ustavi.

Čast mi je predložiti da ovo pismo i Vaša potvrda, ako je naprijed navedeno Vašoj Vladi prihvatljivo, zajedno predstavljaju Sporazum između Republike Hrvatske i Kraljevine Nizozemske, u odnosu na Curaçao.

čast mi je pozvati se na sadržaj »Konvencije između Kraljevine Nizozemske u odnosu na Nizozemske Antile i (Belgije, Austrije i Luksemburga) o automatskoj razmjeni informacija o dohotku od štednje u obliku isplata kamata«, »Konvencije između Kraljevine Nizozemske u odnosu na Nizozemske Antile i (država članica EU-a osim Belgije, Austrije i Luksemburga) o automatskoj razmjeni informacija o dohotku od štednje u obliku isplata kamata«, »Konvencije između Kraljevine Nizozemske u odnosu na Arubu i (država članica EU-a osim Belgije, Austrije i Luksemburga) o automatskoj razmjeni informacija o dohotku od štednje u obliku isplata kamata« i »Konvencije između Kraljevine Nizozemske u odnosu na Arubu i (Belgije, Austrije i Luksemburga) o automatskoj razmjeni informacija o dohotku od štednje u obliku isplata kamata, koje su rezultat pregovora s Nizozemskim Antilima i Arubom o Sporazumu o oporezivanju štednje i koje su kao Dodatak I., II., III. i IV. dodane Ishodu postupka visoke radne skupine Vijeća ministara Europske unije od 12. ožujka 2004. (dok.7660/1/04 REV 1 FISC 68 + COR 1).

S obzirom na navedene tekstove, čast mi je predložiti »Konvenciju o automatskoj razmjeni informacija o dohotku od štednje u obliku isplata kamata« sadržanu u Prilogu 1. ovome pismu, kao i našu zajedničku obvezu da u najkraćem roku provedemo unutarnje ustavne postupke za stupanje na snagu ove Konvencije, te da se odmah međusobno izvijestimo o okončanju tih postupaka.

Čast mi je predložiti da Republika Hrvatska i Kraljevina Nizozemska, u odnosu na Curaçao, do okončanja ovih unutarnjih postupaka i stupanja na snagu »Konvencije o automatskoj razmjeni informacija o dohotku od štednje u obliku isplata kamata«, počnu privremeno primjenjivati Konvenciju s datumom pristupanja Republike Hrvatske Europskoj uniji, u okviru uvjeta koje postavljaju naši ustavi.

Čast mi je predložiti da ovo pismo i Vaša potvrda, ako je naprijed navedeno Vašoj Vladi prihvatljivo, zajedno predstavljaju Sporazuma između Republike Hrvatske i Kraljevine Nizozemske, u odnosu na Curaçao.

KONVENCIJA IZMEĐU KRALJEVINE NIZOZEMSKE, u ODNOSU NA CURAÇAO, I REPUBLIKE HRVATSKE O AUTOMATSKOJ RAZMJENI INFORMACIJA O DOHOTKU OD ŠTEDNJE U OBLIKU ISPLATA KAMATA

BUDUĆI DA:

1. Članak 17.(2) Direktive 2003/48/EZ (»Direktiva«) Vijeća Europske unije (»Vijeće«) o oporezivanju dohotka od štednje uređuje da će države članice donijeti i objaviti zakone i druge propise potrebne za usklađivanje s Direktivom od 1. siječnja 2005., pod uvjetom da:

– Švicarska Konfederacija, Kneževina Lihtenštajn, Republika San Marino, Kneževina Monako i Kneževina Andora od istoga datuma počnu provoditi mjere jednake onima sadržanim u Direktivi, u skladu sa sporazumima sklopljenim između njih i Europske zajednice, nakon jednoglasne odluke Vijeća;

– postoje svi sporazumi ili drugi dogovori koji utvrđuju da sva ovisna ili pridružena područja od toga datuma počinju provoditi automatsku razmjenu informacija na isti način kako je utvrđeno u poglavlju II. Direktive ili, u prijelaznom razdoblju utvrđenom u članku 10. primjenjuju porez po odbitku pod uvjetima jednakim onima sadržanima u člancima 11. i 12.;

2. Vijeće je 19. srpnja 2004. (Odluka Vijeća 2004/587/EZ) izmijenilo datum primjene Direktive s 1. siječnja 2005. na 1. srpnja 2005.;

3. Vijeće je 24. lipnja 2005.:

– primilo na znanje da je 25 država članica, 5 europskih zemalja (Andora, Lihtenštajn, Monako, San Marino, Švicarska), 3 britanska krunska posjeda (Guernsey, Otok Man i Jersey) i 7 ovisnih ili pridruženih područja Kariba (Nizozemski Antili, Aruba, Angvila, Britanski Djevičanski Otoci, Kajmanski Otoci, Montserrat, Otoci Turks i Caicos) potvrdilo da od 1. srpnja 2005. provode dogovorene mjere oporezivanja štednje (zeleno svjetlo);

– donijelo »Obavijest o zelenom svjetlu« (dok. 10038/05 FISC 69) da je svih 40 partnera u međunarodnom sporazumu počelo primjenjivati dogovorene mjere oporezivanja štednje od 1. srpnja 2005.;

– ovlastilo tajništvo Vijeća da dostavi »Obavijest o zelenom svjetlu« i informacije o dvostranim sporazumima o oporezivanju štednje i Direktivi o oporezivanju štednje relevantnim trećim zemljama, područjima i javnosti.«;

4. Curaçao ne pripada poreznom području EU, ali je u svrhu Direktive pridruženo područje EU-a i kao takvoga ga uvjeti Direktive ne obvezuju. Međutim, Kraljevina Nizozemska je, u odnosu na Curaçao, a temeljem dogovora između Curaçaoa i Nizozemske, voljna sklopiti sporazume s državama članicama EU-a u svrhu primjene poreza po odbitku pod uvjetima jednakim onima sadržanima u člancima 11. i 12. Direktive u prijelaznom razdoblju utvrđenom člankom 10. Direktive, a po isteku prijelaznoga razdoblja u svrhu automatske razmjene informacija kako je utvrđeno u poglavlju II. Direktive;

5. Dogovor između Curaçaoa i Nizozemske, naveden u prethodnom stavku, uvjetovan je donošenjem zakona i drugih propisa potrebnih za usklađivanje s Direktivom, kao i ispunjenjem uvjeta iz članka 17. Direktive;

6. Ovom Konvencijom Curaçao pristaje primjenjivati odredbe Direktive, pod uvjetima koji su istom utvrđeni, u odnosu na stvarne korisnike koji su rezidenti Republike Hrvatske, a Republika Hrvatska pristaje primjenjivati odredbe Direktive u odnosu na stvarne korisnike koji su rezidenti Curaçaoa.

Vlada Kraljevine Nizozemske, u odnosu na Curaçao, i Vlada Republike Hrvatske, u želji da sklope Konvenciju kojom se omogućuje oporezivanje dohotka od štednje u obliku isplata kamata izvršenih u jednoj državi ugovornici stvarnim korisnicima, fizičkim osobama, koji su rezidenti druge države ugovornice, u skladu sa zakonima te druge države ugovornice, s Direktivom i namjerama država ugovornica, kako je ranije navedeno, sporazumjele su se kako slijedi:

Članak 1.

OPĆE PODRUČJE PRIMJENE

1. Ova se Konvencija primjenjuje na kamate koje isplati isplatitelj kamata koji ima sjedište na području jedne od država ugovornica kako bi se omogućilo oporezivanje dohotka od štednje u obliku isplata kamata izvršenih u jednoj državi ugovornici stvarnim korisnicima, fizičkim osobama, koji su u svrhe oporezivanja rezidenti u drugoj državi ugovornici, prema zakonskim propisima te druge države ugovornice.

2. Područje primjene ove Konvencije ograničeno je na oporezivanje dohotka od štednje u obliku isplata kamata na potraživanja duga, s izuzetkom, između ostalog, oporezivanja mirovina i primitaka od osiguranja.

3. Što se tiče Kraljevine Nizozemske, ovaj se Sporazum odnosi samo na Curaçao.

Članak 2.

DEFINICIJE

1. Za potrebe ove Konvencije, osim ako kontekst zahtijeva drugačije:

a) izrazi »država ugovornica« i »druga država ugovornica« znače: Kraljevina Nizozemska, u odnosu na Curaçao, ili Republika Hrvatska, ovisno o kontekstu;

b) izraz »Curaçao« znači: dio Kraljevine Nizozemske koji se nalazi u području Kariba i sastoji se od područja Curaçaoa, uključujući njegovo teritorijalno more i bilo koje područje koje se nastavlja izvan njegovog teritorijalnog mora unutar kojeg Kraljevina Nizozemska, u skladu s međunarodnim pravom, vrši jurisdikciju ili suverena prava, ali isključujući dio koji se odnosi na Arubu i Bonaire;

c) »ugovorna stranka« koja je država članica Europske unije znači: Republika Hrvatska;

d) izraz »Direktiva« znači Direktiva 2003/48/EZ Vijeća Europske unije od 3. lipnja 2003. o oporezivanju dohotka od štednje u obliku isplate kamata, koja se primjenjuje od datuma potpisivanja ove Konvencije;

e) izraz »stvarni korisnik/korisnici« znači stvarni korisnik/korisnici prema članku 2. Direktive;

f) izraz »isplatitelj(i) kamata« znači isplatitelj(i) kamata prema članku 4. Direktive;

g) izraz »nadležno tijelo« znači:

i) za Curaçao: ministar financija ili njegov ovlašteni predstavnik;

ii) za Republiku Hrvatsku: nadležno državno tijelo prema članku 5. Direktive;

h) izraz »isplata/isplate kamata« znači isplata/isplate kamata prema članku 6. Direktive, uzevši u obzir i njezin članak 15.;

i) svaki izraz koji ovdje nije drugačije definiran ima značenje koje mu je dano u Direktivi.

2. Za potrebe ove Konvencije, u odredbama Direktive na koje se Konvencija poziva, izraz »države članice« znači: države ugovornice.

Članak 3.

IDENTITET I REZIDENTNOST STVARNOG KORISNIKA

Svaka država ugovornica će, na svojem području, usvojiti i osigurati primjenu postupaka potrebnih kako bi se isplatitelju kamata omogućilo da za potrebe članaka 4. do 6. utvrdi identitet stvarnih korisnika i njihovu rezidentnost. Takvi postupci udovoljavat će minimalnim standardima utvrđenima u članku 3. stavcima 2. i 3. Direktive, uz uvjet da se u svezi s podstavcima 2.a) i 3.a) istoga članka identitet i rezidentnost stvarnog korisnika utvrđuju temeljem informacija kojima isplatitelj kamata raspolaže slijedom primjene odgovarajućih odredaba zakona i propisa države ugovornice u kojoj isplatitelj kamata ima sjedište. Međutim, postojeća izuzeća ili oslobođenja, ako ih ima, odobrena na zahtjev stvarnih korisnika koji su rezidenti u Republici Hrvatskoj prema ovim se odredbama prestaju primjenjivati i takvim stvarnim korisnicima se neće odobravati daljnja izuzeća ili oslobođenja ove naravi.

Članak 4.

AUTOMATSKA RAZMJENA INFORMACIJA

1. Nadležno tijelo države ugovornice u kojoj se nalazi sjedište isplatitelja kamata priopćuje informacije iz članka 8. Direktive nadležnom tijelu druge države ugovornice čiji je stvarni korisnik rezident.

2. Informacije se dostavljaju automatski, najmanje jedanput godišnje, u roku od šest mjeseci od isteka porezne godine u državi ugovornici isplatitelja kamata, za sve isplate kamata izvršene u toj godini.

3. Države ugovornice razmjeni informacija prema ovoj Konvenciji pristupaju u skladu s odredbama članka 16. Direktive 2011/16/EU.

Članak 5.

PRIJELAZNE ODREDBE

1. U prijelaznom razdoblju iz članka 10. Direktive, kada je stvarni korisnik rezident u Republici Hrvatskoj, a isplatitelj kamata rezident u Curaçaou, Curaçao će na isplate kamata primijeniti porez po odbitku po stopi od 35 %. U tom razdoblju Curaçao neće morati primjenjivati odredbe članka 4. Međutim, primat će informacije od Republike Hrvatske u skladu s tim člankom.

2. Isplatitelj kamata će primijeniti porez po odbitku na način opisan u članku 11. stavcima 2. i 3. Direktive.

3. Primjena poreza po odbitku u Curaçaou ne sprječava Republiku Hrvatsku u oporezivanju tog dohotka u skladu s njezinim nacionalnim pravom.

4. U prijelaznom razdoblju Curaçao može propisati da se poslovni subjekt sa sjedištem u Republici Hrvatskoj koji isplaćuje kamate ili osigurava isplatu kamata subjektu iz članka 4. stavka 2. Direktive smatra isplatiteljem kamata umjesto subjekta i primjenjivat će porez po odbitku na takve kamate, osim ako subjekt službeno ne pristane da se podaci o njegovom nazivu, adresi i ukupnom iznosu isplaćenih ili osiguranih kamata tom subjektu mogu prosljeđivati u skladu sa zadnjim podstavkom toga stavka.

5. Po isteku prijelaznog razdoblja Curaçao je dužan primjenjivati odredbe članka 4. i prestat će primjenjivati porez po odbitku i vršiti raspodjelu prihoda predviđenu člankom 5. i člankom 6. Ako tijekom prijelaznog razdoblja Curaçao odluči primjenjivati odredbe članka 4., prestat će primjenjivati porez po odbitku i vršiti raspodjelu prihoda predviđenu člankom 5. i člankom 6.

Članak 6.

RASPODJELA PRIHODA

1. Curaçao zadržava 25 % od prihoda od poreza po odbitku navedenog u članku 5. stavku 1., a 75 % prihoda doznačuje Republici Hrvatskoj.

2. Ako Curaçao bude primjenjivao porez po odbitku u skladu s člankom 5. stavkom 4., zadržat će 25 % od prihoda, a Republici Hrvatskoj će doznačiti 75 % od prihoda od poreza po odbitku na isplate kamata subjektima iz članka 4. stavka 2. Direktive, sa sjedištem u Republici Hrvatskoj.

3. Takve doznake se vrše najkasnije u roku od šest mjeseci po isteku porezne godine u Curaçaou.

4. Curaçao će poduzeti potrebne mjere za osiguranje pravilnoga funkcioniranja ovoga sustava raspodjele prihoda.

Članak 7.

IZNIMKE OD POSTUPKA OPOREZIVANJA PO ODBITKU

1. Curaçao će osigurati primjenu jednog ili oba postupka iz članka 13. stavka 1. Direktive kako bi se osiguralo da stvarni korisnici mogu zatražiti da se ne primjenjuje porez po odbitku.

2. Na zahtjev stvarnog korisnika, nadležno tijelo države ugovornice u kojoj on ima prebivalište u svrhe oporezivanja izdaje potvrdu u skladu s člankom 13. stavkom 2. Direktive.

Članak 8.

IZBJEGAVANJE DVOSTRUKOG OPOREZIVANJA

Republika Hrvatska će osigurati izbjegavanje bilo kakvog dvostrukog oporezivanja do kojeg bi moglo doći uslijed oporezivanja po odbitku iz članka 5., u skladu s odredbama članka 14. stavaka 2. i 3. Direktive ili će osigurati povrat poreza po odbitku.

Članak 9.

DRUGI POREZI PO ODBITKU

Konvencija ne sprječava države ugovornice u razrezivanju drugih vrsta poreza po odbitku osim onoga iz članka 5. u skladu s njihovim nacionalnim propisima ili ugovorima o izbjegavanju dvostrukog oporezivanja.

Članak 10.

PREUZIMANJE

Države ugovornice će prije datuma pristupanja Republike Hrvatske Europskoj uniji donijeti i objaviti zakone i druge propise potrebne za usklađivanje s ovom Konvencijom.

Članak 11.

DODATAK

Tekst članka 16. Direktive Vijeća 2011/16/EU od 15. veljače 2011. o administrativnoj suradnji na području oporezivanja kojom se ukida Direktiva 77/799/EZ na koji se Konvencija poziva čini Dodatak ovoj Konvenciji i njezin je sastavni dio.

Članak 12.

STUPANJE NA SNAGU

Ova Konvencija stupa na snagu zadnjeg dana prvog mjeseca koji slijedi nakon kasnijeg od datuma na koji su se odnosne Vlade međusobno izvijestile pisanim putem da su ustavni postupci predviđeni u njihovim odnosnim državama okončani, a njezine odredbe proizvode učinak od datuma pristupanja Republike Hrvatske Europskoj uniji.

Članak 13.

PRESTANAK

Ova Konvencija ostaje na snazi sve dok ju jedna od država ugovornica ne okonča. Svaka država može okončati Konvenciju, diplomatskim putem, uz obavijest o prestanku dostavljenu najmanje šest mjeseci prije kraja bilo koje kalendarske godine nakon isteka razdoblja od tri godine od datuma njezina stupanja na snagu. U tom slučaju Konvencija prestaje proizvoditi učinke za razdoblja koja počinju nakon isteka kalendarske godine u kojoj je dostavljena obavijest o prestanku.

Članak 16. Direktive 2011/16/EU

»Otkrivanje informacija i dokumenata«

1. Informacije koje se u skladu s ovom Direktivom priopćuju između država članica u bilo kojem obliku, obuhvaćene su obvezom službene tajne i uživaju zaštitu proširenu na slične informacije prema zakonodavstvu države članice koja ih je primila. Te se informacije mogu koristiti za upravljanje i provedbu nacionalnih zakonodavstava država članica o porezima kako se navodi u članku 2.

Te se informacije također mogu koristiti za utvrđivanje i prisilnu naplatu drugih poreza i carina obuhvaćenih člankom 2. Direktive Vijeća 2010/24/EU od 16. ožujka 2010. o uzajamnoj pomoći za naplatu tražbina vezno uz poreze i carine i druge mjere[1] ili za utvrđivanje i naplatu doprinosa za obvezno zdravstveno osiguranje.

Osim toga mogu se koristiti vezano uz sudske i upravne postupke koji mogu uključivati kazne, pokrenute zbog kršenja poreznog prava, ne dovodeći u pitanje opća pravila i odredbe koji uređuju prava optuženika i svjedoka u takvim postupcima.

2. Uz dozvolu nadležnog tijela države članice koje priopćava informacije u skladu s ovom Direktivom i samo ukoliko je to dozvoljeno prema zakonodavstvu države članice nadležnog tijela koje prima informacije, informacije i dokumenti primljeni u skladu s ovom Direktivom mogu se koristiti u druge svrhe osim onih navedenih u stavku 1. Takva se dozvola dodjeljuje ako se informacije mogu uporabiti u slične svrhe u državi članici nadležnog tijela koje ih je priopćilo.

3. Kada nadležno tijelo države članice smatra da informacije koje je dobilo od nadležnog tijela druge države članice mogu biti korisne u svrhe navedene u stavku 1. nadležnom tijelu treće države članice, ono može prenijeti te informacije tom nadležnom tijelu uz uvjet da je prijenos u skladu s pravilima i postupcima utvrđenim u ovoj Direktivi. Ono obavještava nadležno tijelo države članice iz koje informacije potječu o svojoj namjeri da podijeli te informacije s trećom državom članicom. Država članica podrijetla informacija može se usprotiviti tom dijeljenju informacija u roku 10 radnih dana od primitka obavijesti od države članice koja želi podijeliti informacije.

4. Dozvolu za uporabu informacija u skladu sa stavkom 2. koje su proslijeđene u skladu sa stavkom 3., može dodijeliti samo nadležno tijelo države članice iz koje potječu informacije.

5. Informacije, izvješća, izjave i svi drugi dokumenti ili njihove ovjerene preslike ili izvadci, koje je pribavilo tijelo koje prima zahtjev i koji su dostavljeni tijelu koje podnosi zahtjev u skladu s ovom Direktivom, nadležna tijela države članice koja podnosi zahtjev mogu koristiti kao dokazni materijal na istoj osnovi kao i slične informacije, izvješća, izjave i bilo koje druge dokumente koje je osiguralo neko tijelo te države članice.«


Članak 3.

Provedba ovoga Zakona u djelokrugu je središnjeg tijela državne uprave nadležnog za poslove financija.

Članak 4.

Na dan stupanja na snagu ovoga Zakona Konvencija iz članka 1. ovoga Zakona nije na snazi već se privremeno primjenjuje od datuma pristupanja Republike Hrvatske Europskoj uniji te će se podaci o njezinu stupanju na snagu objaviti u skladu s odredbom članka 30. stavka 3. Zakona o sklapanju i izvršavanju međunarodnih ugovora.

Članak 5.

Ovaj Zakon stupa na snagu osmoga dana od dana objave u »Narodnim novinama«.
